Terms and Conditions
1. Introduction
These Terms and Conditions (“Terms”) govern your use of GrowUP Digital Marketing’s (“GrowUP”) digital marketing platform and services (“Services”). You agree to be bound by these Terms by accessing or using the Services. You may not access or use the Services if you do not agree to these Terms.
2. Definitions
The term “Client” refers to any individual or entity that uses the Services.
The term “Content” refers to any information, data, text, images, graphics, audio, video, software, code, or other materials submitted to GrowUP by the Client.
“Services” refers to GrowUP’s digital marketing services, such as website design, search engine optimization (SEO), pay-per-click (PPC) advertising, social media marketing, content marketing, email marketing, and analytics.
3. Services
3.1 GrowUP offers a variety of digital marketing services to assist Clients in achieving their business objectives. The services that are available may change from time to time.
3.2 GrowUP reserves the right, at any time and without notice, to modify or discontinue any Service.
4. Client Responsibilities
4.1 The Client is responsible for providing all necessary information and materials to GrowUP in order for the Services to be performed.
4.2 The Client agrees to work with GrowUP to complete the Services.
4.3 The Client is responsible for reviewing and approving all GrowUP materials.
4.4 The Client is responsible for ensuring that all Content submitted to GrowUP is accurate, complete, and does not violate on any third party’s intellectual property rights.
5. Intellectual Property
5.1 GrowUP owns all intellectual property rights in the Services and any materials it creates.
5.2 GrowUP is granted a non-exclusive, royalty-free license to use all Content submitted by the Client in connection with the performance of the Services by the Client.
6. Fees and Payment
6.1 The Client agrees to pay GrowUP the agreed-upon fees for the Services.
6.2 All fees must be paid in advance.
6.3 GrowUP reserves the right to change its fees at any time and without notice.
7. Termination
7.1 GrowUP may terminate these Terms and/or suspend or terminate the Client’s access to the Services at any time for any reason.
7.2 The Client may terminate these Terms at any time by giving written notice to GrowUP.
8. Warranties and Disclaimers
8.1 GrowUP offers the Services on a “as is” and “as available” basis.
8.2 GrowUP makes no express or implied warranties about the Services, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
8.3 GrowUP is not liable for any loss or damage resulting from the use of the Services.
9. Limitation of Liability
9.1 GrowUP is not liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the Services.
9.2 The Client agrees to indemnify and hold GrowUP harmless for any claims, losses, liabilities, damages, and expenses (including attorney’s fees) arising from or related to the Client’s use of the Services.
10. Governing Law
These Terms are governed and construed in accordance with the laws of the State of Maharashtra, without regard to conflict of laws principles.
11. Entire Agreement
These Terms constitute GrowUP’s and the Client’s entire agreement regarding the subject matter hereof, and supersede all prior or concurrent communications, representations, or agreements, whether oral or written.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remainder of the Terms will remain in full force and effect.
13. Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
14. Notices
All notices under this section must be in writing and must be delivered personally, sent by certified or registered mail, postage prepaid, return receipt requested, or sent by overnight courier service to the following address:
